ARTICLES OF INCORPORATION – The name of the Corporation shall be “Sunset Harbour Yacht Club, Inc.” (hereinafter referred to as the “Club”). Its principle office shall be at 1928 Sunset Harbour Drive, Miami Beach, Florida or at such other place as may be designated, from time to time, by the Board of Directors.
BYLAWS – Corporate bylaws (sometimes spelled “by-laws”) are the rules of a corporation, established by the board of directors during the process of starting a corporation. When a corporation is formed (a process called incorporation), one of the first tasks of the new corporation is to have corporate bylaws formed.
CLUBHOUSE EQUITY MEMBER RULE BOOK – On behalf of the Sunset Harbour Yacht Club Board of Directors, We are pleased to announce the opening of the Sunset Harbour Yacht Club Equity Members Clubhouse. We have spent a considerable amount of time finalizing the “CLUBHOUSE EQUITY MEMBER RULE BOOK”. The POLICIES stated in this document are the rules and regulations for the Clubhouse.
INTRODUCTION TO MEMBERSHIP DOCUMENTS – Attached please find the Sunset Harbour Yacht Club, Inc. (“SHYC”) Articles of Incorporation, By-Laws, Membership Plan and Rules and Regulations, collectively known as the Membership Documents. Please note that these documents are in their original form as drafted by Marine Holdings, Inc., the original developer of the yacht club.
MEMBERSHIP PLAN – This Membership Plan and its exhibits (the “Membership Documents”) offer you an opportunity to become an equity member in Sunset Harbour Yacht Club, Inc., a Florida not-for-profit corporation (the “Club”). The Club is a private equity membership club, located in Miami Beach, Florida.
RULES AND REGULATIONS – These Rules and Regulations for Sunset Harbour Yacht Club, Inc. (the “Club”) are intended to be a guide to the use of the Club Facilities referred to in the Membership Plan. They are not intended to deal with all conceivable issues that may be presented for governance. These Rules and Regulations are established by the Club to protect the Club Facilities and to promote the health, safety, welfare and enjoyment of the members, their families and guests and all other persons using the Club Facilities.
